Terms of Service

These Terms of Service ("Terms") govern your access to and use of Capstone Outreach (the "Service"), operated by Capstone Tech ("Capstone," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Capstone Outreach helps you capture contacts and send personalized follow-up messages from your own connected email and phone accounts, and provides a contact CRM to manage those relationships. We may add, change, or remove features over time.

2. Your account

You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and able to form a binding contract. Notify us promptly at sg@capstonetech.co if you suspect unauthorized use.

3. Trials, plans, and billing

The Service is offered on the Starter plan at $25/month and the Pro plan at $45/month, each starting with a 3-day free trial. Unless you cancel before the trial ends, your paid subscription begins automatically and your payment method is charged the plan fee. Subscriptions renew monthly until cancelled. Fees are billed in advance and, except where required by law, are non-refundable. You can cancel at any time from account settings or by emailing us; cancellation takes effect at the end of the current billing period. We may change pricing on prospective renewals with reasonable notice.

4. Acceptable use

You agree not to use the Service to: violate any law or third-party right; send unlawful, deceptive, harassing, or infringing content; distribute malware; attempt to gain unauthorized access to the Service or its systems; scrape or overload the Service; or resell the Service without our permission.

5. Your messages and sending compliance

Because messages are sent from your connected email and phone accounts, you are the sender of record. You are solely responsible for the content of your messages and for complying with all laws that apply to your outreach, including anti-spam and telemarketing laws (for example, the CAN-SPAM Act, TCPA, CASL, and GDPR/ePrivacy where applicable), and with the terms of your email, calendar, and messaging providers. You represent that you have a lawful basis to contact the people you add and that you will honor opt-out and unsubscribe requests. We provide reply-detection and stop controls to help, but responsibility for lawful sending remains with you.

6. Your data

You retain ownership of the contact and content data you put into the Service. You grant us a limited license to host and process that data to provide the Service. Our handling of personal information is described in the Privacy Policy, which is incorporated into these Terms.

7. Our intellectual property

The Service, including its software, design, and content we create, is owned by Capstone and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. You may not copy, modify, or reverse-engineer the Service except as permitted by law.

8. Third-party services

The Service integrates with third-party providers (such as Google, Microsoft, Calendly, payment processors, and telephony providers). Your use of those services is governed by their terms, and we are not responsible for them.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any outreach will produce a particular result.

10. Limitation of liability

To the maximum extent permitted by law, Capstone will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

11. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to others or to the Service. On termination, your right to use the Service ends; sections that by their nature should survive (for example, Sections 6, 7, 9, 10) will survive.

12. Governing law

These Terms are governed by the laws of the United States and the state in which Capstone Tech is organized, without regard to conflict-of-laws rules. Any dispute will be resolved in the courts located there, unless applicable law provides otherwise.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the revised Terms.
